Draft Board Resolution for Approval of Board’s Report

As per the provisions of the Companies Act, 2013 report of Board of Directors is to be attached with the Balance Sheet laid before the shareholders in the general meeting. Before circulation of Board’s Report along with the Annual Accounts of the company, approval of Board of Directors is necessary. Draft Board’s Report is being presented before the members of Board as Annexure – I for the consideration & approval.

Hence if approved following resolution may be passed :

RESOLVED THAT the Draft Board’s Report for the year ended on 31^st March, ________ as presented before the members of the board in Annexure – I, be & is hereby approved for its circulation with the Accounts of the Company among the members of the company.

FURTHER RESOLVED THAT ___________ and ______________ of the company be & are hereby authorized to sign the Board’s Report on behalf of the Board

FURTHER RESOLVED THAT __________ be and is hereby authorized to take all necessary actions to implement the above decision of the board.
