Draft Board Resolution for appointment of Nominee Director

     

Section 161(3) of the Companies Act, 2013 deals with the Appointment of Nominee Director. As per the provisions of section 161 (3) states that “Subject to the articles of a company, the Board may appoint any person as a director nominated by any institution in pursuance of the provisions of any law for the time being in force or of any agreement or by the Central Government or the State Government by virtue of its shareholding in a Government company.”

RESOLVED  THAT pursuant  to the  provisions  of  Article _____  of the  Articles  of Association  of the  company & in  compliance  of the nomination letter dated _________ received from M/s. _____________, Shri _____________, be & is hereby appointed  as a Nominee  Director  on the  Board  of ___________.

FURTHER  RESOLVED THAT  ___________ be  and  is  hereby  authorized  to  file DIR-12 with the Registrar of Companies and take  all  necessary  action  to  implement  the  above  board  resolution.
