Draft Board Resolution for Vacation of office of Alternate Director

As per the provisions of second proviso to section 161(2) of the Companies Act, 2013 an Alternate Director shall not hold office for a period longer than that permissible to the director in whose place he has been appointed and shall vacate the office if and when the director in whose place he has been appointed returns to India.

Draft Board Resolution for Vacation of office of Alternate Director

"RESOLVED THAT pursuant to the provisions of second proviso to section 161(2) of the Companies Act, 2013, and other applicable provisions (including any modification or re-enactment thereof), if any, of the Companies Act, 2013, Shri ………., Director of the Company having returned to the ………… from …………….., Shri ……….., who was appointed as an alternate Director to act in the place of Shri ……….., be and is hereby declared to have ceased to be the alternate Director of the Company.”

"RESOLVED FURTHER THAT Shri ………….. be and is hereby authorized to do all such acts, deeds, matters and things as deem necessary, proper or desirable for the purpose of giving effect to the aforesaid resolution”.
