As per the
provisions of section 87(1) of the Companies Act, 2013 the Central Government
on being satisfied that the omission to file with the Registrar the particulars
of any charge created by a company or any charge subject to which any property
has been acquired by a company or any modification of such charge, on any grounds,
it is just and equitable to grant relief, it may on the application of the
company or any person interested and on such terms and conditions as it may seem
to the Central Government just and expedient, direct that the time for the
filing of the particulars or for the registration of the charge or for the
giving of intimation of payment or satisfaction shall be extended or, as the
case may require, that the omission or mis-statement shall be rectified.
Draft Board Resolution for Making Application to Central Government For Condonation of Delay in Registration of Charge
“RESOLVED THAT pursuant to the
provisions of section 87 and other applicable provisions, if any, of the
Companies Act, 2013 (Act) read with rule no. 12 of Companies (Registration of
charges) Rules, 2014 (including any statutory modification(s) or re-enactment
thereof for the time being in force), the consent of the Board be and is hereby
accorded to file an application in form RD-1 to the Regional Director for
condonation of delay in filing application for the registration of charge."
“RESOLVED
FURTHER THAT Mr. / Ms. ______ (Name of the person) be and
is hereby authorized to do all acts and take all such steps as may be necessary,
proper or expedient to give effect to the aforesaid resolution.”
