“RESOLVED THAT expenses as incurred by Shri _________ Director of the company as shown in the statement tabled before the board containing the details of expenses incurred by the director and duly initialed by the Chairperson for the purpose of identification be and is hereby approved and be reimbursed from the Company’s Fund.”

“FURTHER  RESOLVED THAT  ___________ be  and  is  hereby  authorized  to  take  all  necessary  actions  to  implement  the  above  board  resolution.”
