Board Resolution to Take Note of Vacation of Office Due to Not Attending Board Meetings

As per the provisions of section 167(1)(b) of the Companies Act, 2013 the office of a director shall become vacant in case he absents himself from all the meetings of the Board of Directors held during a period of twelve months with or without seeking leave of absence of the Board.
As Shri ___________ and Shri ____________ not attended any meeting of the Board of Directors held during a period of twelve months commencing from __________, they have ceased to be a Directors of the Company w.e.f. __________ .
RESOLVED THAT pursuant to the provisions of section 167(1)(b) of the Companies Act, 2013, cessation of Shri _________ and Shri _________ from the board, as both of them absents themselves from all the meetings of the Board of Directors held during a period of twelve months commencing from ______________ be and is hereby noted by the board.
FURTHER RESOLVED THAT _____________ be and is hereby authorized to take all necessary actions to implement the above board resolution.
