“RESOLVED
THAT in addition to the existing signing authority to operate the Current
Account of the Company, Shri _________ of the Company be and is hereby further
authorised to operate the Current Account with _________ Bank for and on behalf
of the Company.

FURTHER
RESOLVED THAT the Bank be instructed and ordered to
honor all cheques or other orders expressed to be drawn on behalf of the
Company and to accept and act upon any instructions relating to the account or
accounts kept in the name of the company or relating to any transactions of the
Company with the Bank provided the cheques, orders or instructions are signed
